Letter of Intent (LOI). An LOI generally requires the seller to close the transaction under the stipulated terms. At the same time, however, the document generally permits the buyer to walk away from the deal if the buyer isn't satisfied with due diligence. The LOI sets forth the terms of the deal and is based on a form prepared by the buyer's counsel.
