Summary


In the remaining counterclaims that went to trial, [Donalee Goodbrod] alleged that [Cliff Skoglund] and [Chris Harvey] should be held responsible for some expenses she paid in 1999 for several invoices, sales taxes and employee payroll. [Hall] ruled the contract was ambiguous, and that Goodbrod's counterclaims presented him with "a pretty close call" and "an interesting question of contract interpretation."

Nonetheless, Hall dismissed all of Goodbrod's remaining counterclaims and said Goodbrod, who managed the Paramount before buying it, had purchased an ongoing business and should have known there would be some outstanding bills at the time of closing on the sale. Hall ruled she will have to pay part of the approximately $50,000 in attorney fees for Skoglund and Harvey. Goodbrod declined to comment on the ruling. She says she is still negotiating with the IRS to settle the remainder of the tax bill.
